As my headline suggests, this is a great introduction to the US Private Placement market. I'm a seasoned banker and bought this book to touch up on how the institutional market looks at transactions and how my clients could benefit from diversifying in to this source of capital. If I were a prospective issuer, I would think this guide would prove invaluable to successfully navigating that first transaction. Recommended.
Although the title says the book covers everything you will ever need to know about raising capital under Regulation D 4(A)(2), that is not what this book does. In fact, this 29 page book is really an article that is an overview of the industry and provides little guidance as to how to specifically prepare a Reg D offering or the fundamentals in such preparation. I think the information would be useful as an article but I wonder if the author could get a magazine to publish the article.

A must read for any company ready to issue debt in the USPP Market. This guide takes you through the nuts and bolts of an issuance and prepares companies on what to expect during the process. I found the table outlining each phase of the process most useful. Also, the section on the four elements that determine the success of the transaction was worth its weight in gold. Highly recommend it to those companies issuing for the first time or companies that have issued a multitude of times.
I work in a very different sector in the Finance industry and after reading the book I feel I have a solid foundation regarding what US Private Placements are and how the market works. I would highly recommend this book for anyone who would like learn about US Private Placements.
Very well written. Brief & concise and I will highly recommend this to anybody interested in learning about the US Private Placement business.
